Main Objective:

The Director of Legal & Compliance – LATAM, will play a pivotal role in ensuring Arthrex operates in full compliance with all applicable laws and regulations throughout the LATAM region. This strategic leadership position entails overseeing legal and compliance initiatives in collaboration with Senior Leadership at Inc and across LATAM, leading a team of legal and compliance professionals and collaborating closely with cross-functional teams to support the company's strategic goals.

 

Essential Duties and Responsibilities:

  1. Legal Strategy and Counsel:
    • Develop and execute legal strategies to align with business objectives in the LATAM region.
    • Provide expert legal guidance and counsel to senior management on various matters, including contractual agreements, regulatory compliance, and risk mitigation.
    • Engage and manage local, external counsel.
    • Manage corporate governance in region and advise on formation of legal entities and structure.
  2. Compliance Oversight:
    • Support the Chief Compliance Officer and global compliance program as member of global compliance leadership team.
    • Ensure adherence to relevant laws, regulations, and industry standards across the LATAM region, with a focus on healthcare regulations and anti-corruption laws.
    • Regionalize global corporate compliance policies and procedures as needed.
    • Ensure LATAM employees and third-parties are adequately trained on global and regional policies and procedures.
    • Work with HCP Engagement team to ensure LATAM HCP engagements are appropriate and transfers of value reported.
    • Develop and implement strategies and actions to minimize non-compliance and mitigate risk while helping drive business objectives.
  3. Distributor Management:
    • Work with Third-Party Risk Management team to manage risk around distributors and other third-parties.
    • Support Compliance Assurance team in performing third-party risk assessments and audits.
    • Provide instruction and guidance to third-parties on their compliance programs and mitigating audit findings.
  1. IP Management:
    • Support Inc IP team in protecting company intellectual property.
    • Develop IP protection strategy for LATAM regarding what information can be brought in-country.
  2. Internal Investigations:
    • Promote Speak-Up Culture and ensure that anti-retaliation protections are followed.
    • Support Global Investigations Team in regional internal investigations while maintaining business partner relationship with stakeholders.
  3. Data Privacy
    • Work with global Data Privacy team to drive the development of the global privacy program in LATAM.
  4. Contract Management:
    • Review, negotiate, and finalize complex contracts, including distribution agreements, licensing agreements, and strategic partnerships, to safeguard the company's interests.
  5. Regulatory Affairs:
    • Collaborate closely with regulatory affairs teams to facilitate product registrations and approvals in accordance with local regulatory requirements.
    • Stay current with changes in healthcare regulations and advise on their implications for the business.
  6. Team Leadership:
    • Foster the growth and development of a high-performing legal and compliance team in the LATAM region.
    • Provide mentorship and opportunities for professional advancement to team members.
  7. Stakeholder Collaboration:
    • Collaborate effectively with cross-functional teams, including sales, marketing, regulatory affairs, and quality assurance, to ensure a coordinated and measured approach to legal and compliance matters.

Education and Experience:

  • Qualified lawyer combining solid academic background and practical experience in business law and compliance matters.
  • Professional experience gained leading legal and compliance in the healthcare or medical device industry.
  • In-depth knowledge of healthcare regulations and compliance standards in the LATAM region.
  • Exceptional negotiation, communication, and problem-solving skills.
  • Excellent leadership and interpersonal skills with a willingness to collaborate, share knowledge, respond quickly to urgent matters and execute proactively.
  • Ability to thrive in a fast-paced, dynamic environment.
  • Fluency in English; proficiency in additional languages relevant to the LATAM region is an advantage.
  • Solid understanding of the business environment and the ability to provide high- quality legal advice with a view on finding pragmatic solutions for the business.
  • Ability to forecast legal issues and risks.
  • Excellent oral and written communication skills.

 

Knowledge and Skill Requirements/Specialized Courses and/or Training:

  • Advanced writing, comprehensive reading, communication and research skills required. Electronic based legal research experience required.

 

Machine, Tools, and/or Equipment Skills:

  • LEXIS/Westlaw, Excel, MS Office, PC, printer, copiers and other miscellaneous office equipment

 

Reasoning Ability:

Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables.

 

Mathematical Skills

Ability to comprehend and apply mathematical principles to the degree required to perform the job based upon job requirements.

 

Language and Communication Skills:

Ability to comprehend and apply language skills to the degree required to perform the job based upon the job requirements listed above. Ability to verbally communicate ideas and issues effectively to other team members and management. Ability to write and record data and information as required by procedures.
